Terms & Conditions
This Seller Services Agreement is a legal contract between E-Mall World ("Platform") and the Registered Seller/Customer, governed by Indian Contract Act, 1872.
01. Platform Role
E-Mall World operates as a "Marketplace Intermediary" under Section 79 of the IT Act, 2000. By clicking "I Agree" or using the Platform, you agree to comply with all terms under the Indian Contract Act, 1872.
Marketplace Only
E-Mall World connects sellers and customers. The Platform does not sell its own products.
Limited Liability
E-Mall World is not liable for product quality, performance, or legal disputes from Seller inventory.
02. Enrollment & Verification
- Mandatory Documentation: Sellers must provide valid GSTIN, PAN, and Bank Account details for registration.
- Zero Tolerance for Fraud: Forged or invalid documents result in immediate account block without prior notice and permanent withholding of pending payments.
- Account Security: The Seller is solely responsible for login credential confidentiality. Any data breach or suspicious activity must be reported immediately.
- Right to Audit: E-Mall World reserves the right to audit Seller warehouses, invoices, and physical stock at any time.
03. Product Authenticity & Anti-Counterfeit
Zero Tolerance Policy (Trademark Act, 1999 & Copyright Act, 1957)
- Sellers must only list 100% original products. Selling fake or knock-off items is strictly prohibited.
- Penalty: ₹10,000 per instance and/or a permanent ban from the Platform.
- Branded products require Authorization Letter or Brand Invoice upload before listing.
- Content Usage: E-Mall World reserves the right to use product images and descriptions for marketing and promotions.
Customer Complaint Handling
If a customer provides proof that a product is counterfeit, the listing will be immediately deleted. Seller must produce genuine invoices within 24 hours or face penalties.
04. Commission & Pricing
7% Commission
E-Mall World deducts 7% commission on every successful sale. Payment gateway charges and applicable GST are extra.
Price Parity
The product price on E-Mall World must be the lowest or equal to any other platform or offline store.
TCS (Tax Collected at Source) will be deducted as per Section 52 of the CGST Act.
05. Shipping, Packaging & SLA
48-Hour SLA
Orders must be dispatched within 24–48 hours. Failure to upload tracking within this window leads to automated penalties (₹50–₹100 per order).
Packaging Standards
Amazon-grade packaging required. Sellers must use E-Mall World branded tape. Each package must contain the original tax invoice.
Seller Rating Impact
Frequent delays will result in lowered seller rating or account suspension. SLA compliance protects customer experience.
06. Replacements, Returns & Indemnity
Replacement Policy (Consumer Protection Rules, 2020)
If a customer receives a damaged, defective, or incorrect product, the Seller is obligated to provide a replacement. E-Mall World follows a "Replacement Only" model — refunds are issued only when stock is unavailable.
Logistics Costs
In cases of wrong or damaged items sent by the Seller, the Seller shall bear the total two-way shipping costs.
Indemnity Clause (Section 79, IT Act)
Agar seller ke product se kisi customer ko nuksan hota hai, toh uski poori legal zimmedari seller ki hogi, E-Mall World ki nahi. The Seller assumes sole legal and criminal liability for any harm or injury caused by their products.
07. Payment Cycle & Legal Hold
Settlement Period
Payments transferred to Seller's registered bank account within 7–15 working days after successful delivery (subject to TCS deduction under Section 52, CGST Act).
Right to Hold
E-Mall World reserves the right to withhold payments if there are pending disputes, legal inquiries, or high return rates. Fraud cases: funds held for 180 days (6 months).
08. Prohibited Activities
Off-Platform Sales
Directly contacting customers to sell outside the platform is strictly prohibited.
Fake Reviews
Posting fake reviews on your own products results in immediate account ban.
Duplicate Branding
Using major brand logos (Nike, Apple, etc.) without authorization is illegal.
Restricted Items
Sale of drugs, weapons, tobacco, adult content is prohibited under IPC and NDPS Act.
09. Termination of Agreement
General Termination
Either party may terminate this agreement by providing a 30-day written notice.
Immediate Termination
E-Mall World may terminate immediately and without notice if the Seller violates any core policy (Counterfeits, Data Theft, Fraud) or is involved in fraudulent activities.
10. Governing Law & Jurisdiction
Jurisdiction: Courts of Bhavnagar, Gujarat, India
Dispute Resolution
- This Agreement is governed by the laws of India.
- All disputes shall be subject to the exclusive jurisdiction of courts in Bhavnagar, Gujarat.
- E-Mall World shall act as final arbitrator for Seller-Customer disputes based on evidence.
